Dr. Caforio, age 54, serves as Chairman of Bristol Myers Squibb’s Board of Directors.

Dr. Caforio has been our Chief Executive Officer since May 2015. He was our Chief Executive Officer Designate from January to May 2015, our Chief Operating Officer from June 2014 to May 2015, and he served as Executive Vice President and Chief Commercial Officer from November 2013 to June 2014.

From October 2011 to November 2013, he served as President, U.S. He held the position of Senior Vice President, Global Commercialization and Immunology from May 2010 to October 2011. Prior to that, he served as Senior Vice President, Oncology, U.S. and Global Commercialization from March 2009 to May 2010.

From January 2007 to March 2009 he served as Senior Vice President, U.S. Oncology and from May 2004 to January 2007, he served as Senior Vice President, European Marketing and Brand Commercialization.

Dr. Caforio is a member of the Board of Trustees of Hun School of Princeton and a member of the Business Roundtable, CEO Roundtable on Cancer and the Pharmaceutical Research and Manufacturers of America (PhRMA)?and The Prium.

Dr. Sato, age 70, serves as Chairman of the Board of Denali Therapeutics, Inc. She previously served as a professor of management practice at the Harvard Business School from July 2005 to July 2017. From July 2005 to October 2014 she served as professor of the practice of molecular and cell biology at Harvard University.

In 2005, Dr. Sato retired as President of Vertex Pharmaceuticals Incorporated, a global biotechnology company, where she was responsible for research and development, business and corporate development, commercial operations, legal, and finance. Dr. Sato also served as Chief Scientific Officer, Senior Vice President of Research and Development, and Chair of the Scientific Advisory Board at Vertex before being named President in 2000.

She serves as Chairman of VIR Biotechnology, Inc. and is on the Board of Directors of BorgWarner, Inc. and Syros Pharmaceuticals.? She serves as Co-Chair on the Task Force on Science and Engineering at Harvard University and Co-Chair on the Advisory Council of LifeSciNYC.

Mr. Arduini, age 54, has been President and Chief Executive Officer of Integra LifeSciences Holdings Corporation, a global medical technology company, since January 2012 and currently serves as a member of Integra’s Board of Directors.

He served as President and Chief Operating Officer of Integra from November 2010 to January 2012. Before joining Integra, Mr. Arduini was Corporate Vice President and President of Medication Delivery, Baxter Healthcare, from 2005 to 2010.

Prior to joining Baxter, Mr. Arduini worked for General Electric Healthcare, where he spent much of his 15 years in a variety of management roles for domestic and global businesses, culminating in leading the global functional imaging business.

Mr. Arduini also serves on the Board of Directors of ADVAMED (the Advanced Medical Technology Association), the Board of Directors of MDIC (the Medical Device Innovation Consortium), and the Board of Directors of the National Italian American Foundation.? Mr. Arduini also serves on the Board of Trustees of Susquehanna University.

Robert Bertolini, age 57, brings to the Board significant experience in strategic and operational leadership both in and out of the finance function. Most recently, he was President and Chief Financial Officer of Bausch & Lomb where he played a key role in preparing the company for an initial public offering until its sale to Valeant Pharmaceuticals. Previously, Mr. Bertolini served as Executive Vice President and Chief Financial Officer at Schering-Plough Corporation?from November 2005 until November 2009 (through its merger with Merck & Co.), where he oversaw all key financial areas and played a key role in transforming operations and leading the acquisition of a significant business. Prior to joining Schering-Plough, Mr. Bertolini spent 20 years at PricewaterhouseCoopers LLP, leading its global pharmaceutical industry practice.

Mr. Bonney, age 61, serves as the Executive Chair of the Board of Kaleido Biosciences, Inc., a clinical-stage healthcare company with a chemistry-driven approach to leveraging the microbiome organ to treat disease and improve human health, and has served in this role since August 2018. He served as Chief Executive Officer and Chairman from June 2017 to August 2018.?

From January to July 2016, he was a Partner of Third Rock Ventures, LLC. Previously, Mr. Bonney served as Chief Executive Officer and a member of the Board of Directors of Cubist Pharmaceuticals Inc. (which was acquired by Merck & Co., Inc. in January 2015) from June 2003 until December 2014. Prior to Cubist, Mr. Bonney was Vice President of Sales and Marketing at Biogen where he built the commercial infrastructure and launched the company’s first product Avonextm. Prior to joining Biogen, Mr. Bonney spent eleven years at Zeneca Pharmaceuticals, in a range of commercial, operating and strategic roles, ending his career there as National Business Director.? ??

Mr. Bonney chairs the Board of Directors of Alnylam Pharmaceuticals, Inc. and Magenta Therapeutics. He previously served as a member of the Board of Directors of Sarepta Therapeutics Inc., Syros Pharmaceuticals, Global Blood Therapeutics, Inc. and NPS Pharmaceuticals, Inc.? Additionally, he previously served on the Celgene Board of Directors, where he was a member of the Executive and the Nominating, Governance and Compliance Committee.??

?Bonney spends much of his time identifying and mentoring the next generation of leaders. He is also active in the governance and support of a variety of not-for-profit organizations, including Rare, Gulf of Maine Research Institute and Life Science Cares.

Bonney was a regional winner and national finalist (2013) in the life science segment of Ernst & Young’s Entrepreneur of the Year and was one of six executives nationwide named as Marketwatch’s CEO of the Year (2011).

Bonney received a BA in Economics from Bates College where he was a Trustee for seventeen years and chaired the Board for nine.

Matthew Emmens, age 67, brings to the Board more than 40 years of experience in the biopharmaceutical industry, with significant management, business development and operations expertise. Mr. Emmens began his career in international pharmaceuticals with Merck & Co., Inc., where he helped to establish Astra Merck, the joint venture between Merck and Astra AB of Sweden, later becoming its President and CEO. A recognized biotech and pharma leader, Mr. Emmens served as President, Pharmaceuticals, for Merck KGaA from 1999 until 2003; Chief Executive Officer and Chairman of Shire PLC from 2003 until 2008; and President, Chief Executive Officer and Chairman of Vertex Pharmaceuticals from 2004 until 2009. While at Shire, Mr. Emmens engineered an extraordinary revitalization, transforming Shire into one of the top specialty biopharma companies in the world.?

Dr. Haller, age 64, has served since 2007 as Ophthalmologist-in-Chief of Wills Eye Hospital in Philadelphia, PA, where she holds the William Tasman, M.D. Endowed Chair. She is Professor and Chair of the Department of Ophthalmology at Sidney Kimmel Medical College at Thomas Jefferson University and Thomas Jefferson University Hospitals.?

A magna cum laude graduate of Princeton, Dr. Haller received her M.D. degree from Harvard Medical School. She trained at the Wilmer Eye Institute at Johns Hopkins where she served as the first female Chief Resident.? She then joined the Johns Hopkins faculty, where she held the Katharine Graham Chair in Ophthalmology before her move to lead Wills.??

One of the world's most renowned retina surgeons, Dr. Haller has innovated translational advances against blindness on many fronts, including sustained drug delivery devices, ocular pharmacotherapy, retinal "chip" implants, gene therapy, telemedicine, and combating health care disparities.? Elected to the National Academy of Medicine, she has held many leadership roles in medicine, is a past member of the Board of Trustees of Princeton University, and a consultant at Children’s Hospital of Philadelphia.? She previously served on the Celgene Board of Directors, where she was a member of the Audit Committee.

Mr. Paliwal, age 61, has served as President and Chief Executive Officer of Harman International, the connected technologies company for automotive, consumer and enterprise markets, since 2007. Mr. Paliwal served as Chairman of the Harman Board of Directors from July 2008 to March 2017 when Harman was acquired by Samsung Electronics Co., Ltd. Today it operates as a wholly-owned subsidiary of Samsung.

Prior to joining Harman, Mr. Paliwal served as a member of the Group Executive Committee of ABB Ltd., a provider of industrial automation, power transmission systems and services, from January 2001 until June 2007.

Mr. Paliwal also served as President of Global Markets and Technology of ABB Ltd. from January 2006 until June 2007, as Chairman and Chief Executive Officer of ABB North America from January 2004 until June 2007, and as President and Chief Executive Officer of ABB Automation Technologies Division from October 2002 to December 2005.

Mr. Paliwal is a Director of Ratheon Company and Nestlé S.A. and serves on the Board of Directors of the Business Advisory Council of Farmer School of Business, Miami University of Ohio and the U.S. India Business Council (USIBC). He also is a member of the CEO Business Roundtable in Washington, D.C.?and the advisory board of the Woodrow Wilson Center.

Ms. Price, age 58, has more than 30 years of financial and operational experience.? Most recently, she served as Executive Vice President (EVP) and Chief Financial Officer (CFO) of Macy’s Inc. until May 2020.? She currently remains an advisor to the renowned retailer.??

Prior to that, she was a full-time Senior Lecturer for Harvard Business School in the Accounting and Management Unit from 2014-2018.? Before that, Ms. Price also served as EVP and CFO for Ahold USA, Controller and Chief Accounting Office (CAO) of CVS Caremark Corporation, and in senior leadership positions at JPMorgan Chase, Prudential Financial, Diageo, and Kraft Foods.? A certified Public Accountant (CPA), she began her career at Arthur Andersen & Co.??

Ms. Price currently serves on the Boards of Directors of Accenture plc and Western Digital Corp.? She previously served on the Board of Directors of Dollar General Corporation.? Ms. Price earned her M.B.A. degree from the University of Chicago and her B.S. degree in accountancy from DePaul University.

Mr. Rice, age 55, served as Executive Vice President (EVP) of CVS Health and President of its pharmacy benefits management (PBM) business, CVS Caremark, where he led the PBM business from March 2018 to February 2020.??

Prior to that, he served as the EVP of global services and CFO for Eli Lilly and Company from 2006 to 2017.? During his 27-year tenure at Eli Lilly, Mr. Rice was instrumental in helping to drive the company’s innovation strategy and held numerous roles in finance and operations.??

He is currently a member of The Walt Disney Company’s Board of Directors and previously served on the Board of Directors of Target Corporation.? Mr. Rice holds an M.B.A. degree from Indiana University and a B.S. degree in electrical engineering from Kettering University.

With more than 35 years in the financial industry, Theodore (Ted) Samuels, age 64, brings to the Board extensive business and operational experience, particularly with respect to economics, capital markets and investment decision making.?Mr. Samuels is the former President of Capital Guardian Trust Company from 2010 until 2016 and a former global equity portfolio manager at Capital Group, one of the most prominent investment management organizations in the world from 1990 until 2016.? While at Capital Group he served on numerous management and investment committees, with an eye towards long-term shareholder value creation.? He also serves as Co-Chair of Tuft’s President’s Council and the Harvard West Coast Council.

Mr. Samuels currently serves as a Director at Perrigo Company, PLC, and Stamps.com.

Mr. Storch, age 62, has served as Chief Executive Officer of Storch Advisors, a global business and advisory firm, since November 2017.? From November 2013 to January 2015 he served as Chairman and Chief Executive Officer.??

He served as Chief Executive Officer of Hudson’s Bay Company from January 2015 to November 2017.? He also served as Chairman of Toys“R”Us, Inc. from February 2006 to November 2013 and Chief Executive Officer of Toys“R”Us from February 2006 to May 2013

Prior to joining Toys“R”Us, Mr. Storch served as Vice Chairman of Target Corporation. He joined Target in 1993 as Senior Vice President of Strategy and served in roles of increasing seniority over the next 12 years. Prior to joining Target, Mr. Storch was a partner at McKinsey & Company.

Dr. Vousden, age 61, has been a Senior Group Leader at The Francis Crick Institute in London since February 2017 and Chief Scientist of Cancer Research UK (CRUK) since July 2016. From 2002 to 2016 she served as the Director of the CRUK Beatson Institute in Glasgow, prior to which she held leadership roles at the National Cancer Institute in Maryland from 1995 to 2002.

Dr. Vousden brings to the Board more than 30 years of?experience leading ground? breaking cancer research.? She is a fellow of the Royal Society and a Foreign Associate of the National Academy of Sciences.? She serves as a member of the Science Advisory Board of Grail, Inc., Ludwig Institute for Cancer Research, PMV Pharma, Raza Therapeutics and Swiss Institute for Experimental Cancer Research.? Dr. Vousden is a Council member of European Molecular Biology Organization and President of the British Association of Cancer Research.

Ms. Yale, age 62, serves as an advisory partner with Bain & Company where she has worked since 1982. Ms. Yale has served in a number of leadership roles at Bain and has been a leader in building Bain's healthcare practice over the last 35 years. She has spent her career advising health care providers across the full continuum of care, health insurers, and the private equity investors who invest in health care services.? She brings to the Board a deep knowledge of the US healthcare system.

She is currently Chair of the Board of Blue Cross Blue Shield of Massachusetts and serves on the Board of DaVita, Inc. ?Previously, Ms. Yale has served on the boards of various healthcare providers and payers:? Kindred Healthcare, Inc. (post-acute care), National Surgical Hospitals, Inc. (specialty hospitals), Value Options (managed behavioral healthcare), Pediatric Services of America (home care) and NeighborCare, Inc (institutional pharmacy). ? She also serves on a number of advisory boards, including for the Harvard Business School Healthcare Initiative, and the Health Policy and Management Department at the Harvard Chan School of Public Health.?
